PARTSWAREHOUSE TERMS OF SERVICE

PLEASE BE AWARE THAT THERE ARE ARBITRATION, CLASS ACTION, AND JURY WAIVER PROVISIONS THAT MAY AFFECT YOUR RIGHTS.

1. Acceptance of These Terms

Welcome to the Terms of Service for PartsWarehouse. This is an agreement ("Term") between Vacpartswarehouse.com LLC ("PartsWarehouse"), the owner and operator of the www.partswarehouse.com and any other PartsWarehouse branded websites, along with any products or services sold via our websites (collectively the "Site") and you ("you", "your" or "user(s)"), a user of the Site.

Throughout this Agreement, the words "PartsWarehouse," "us," "we," and "our," refer to our company, Vacpartswarehouse.com LLC as is appropriate in the context of the use of the words.

By clicking "I agree," purchasing anything, or accessing the Site you agree to be bound by this Agreement and the Privacy Policy. We may amend these Terms at any time and may notify you if we do so.

2. Service Area and Eligibility

Geographic restriction. The Site is operated for, and the products available through the Site are offered only to, customers with shipping addresses in the United States and Canada. We do not offer products or services to customers in any other country or jurisdiction. Visitors located outside the United States and Canada are not permitted to use the Site. We reserve the right to modify our geographic availability and may modify availability and user access as needed.

Age. You must be 18 years of age or older, or the age of majority in your province or state, to create an account or place an order. The Site is not directed to and may not be used by individuals under that age.

Lawful use. You agree to use the Site only for lawful purposes and in accordance with these Terms.

3. Account Registration

Certain features of the Site require an account. When you create an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We may suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms. We reserve the right to verify all user credentials and to reject any users. We reserve the right to deny or restrict your account at our discretion. Each individual or business is only entitled to one account and users may not share accounts with any third parties except for employees or officers within the same business organization.

4. Orders, Pricing, Products, and Payment

Orders. Your placement of an order through the Site constitutes an offer to purchase, which we may accept or decline in our sole discretion. Acceptance occurs when we ship the products, not when we charge your payment method or send an order confirmation. We may cancel any order at any time before shipment, in which case we will issue a refund of any amount charged. Please be aware that refunds are not instantaneous and may take one to two billing cycles to post to your payment account.

Pricing. Prices are displayed in United States dollars, as applicable to the shipping destination, and are subject to change without notice. We strive for accuracy in pricing and product information, but errors may occur. It is possible that some of the products listed on our Site may be incorrectly priced, improperly labeled, or unavailable. Additionally, other errors may be displayed on the product page. Where an error exists, we will attempt to remedy such error, but we cannot guarantee the accuracy of our product listings at all times. We reserve the right to refuse or cancel any order containing pricing or product errors, even after an order has been confirmed and your payment method has been charged. Although we try to keep all products on our Site available and on hand, there may be times where such products or finishes of products, are unavailable

Taxes and duties. Applicable taxes will be calculated and displayed at checkout based on your shipping address. For Canadian orders, the customer is responsible for any import duties, Goods and Services Tax (GST), Provincial Sales Tax (PST), Harmonized Sales Tax (HST), brokerage fees, and other government charges assessed at the time of delivery. In the event that we do not collect the applicable taxes, you agree that you are still responsible for any applicable taxes. You agree that you will pay any applicable taxes or fees to the tax agencies having jurisdiction over you and at our request you agree to provide us with such payment verification.

Payment. Payment is processed through our third-party payment processors. By submitting payment information, you authorize us and our payment processors to charge the payment method for the total amount of your order, including taxes and shipping. By purchasing anything from our Site you also agree to the terms and conditions of our third party payment processor. Please be aware that all payment information will be stored and secured by the payment processor and not us.

Sizing. Please be aware that all photos of any products on the Site are for illustrative purposes only. Although we use reasonable efforts to ensure that our products are almost entirely similar to the photos offered on our Site, it is possible that some photos shown on our Site may not exactly match the actual product. The final products received by you may vary slightly in color, size, look, finish, or style. Additionally, you should be aware that all measurements are approximate and not exact.

Discounts. Coupons and discounts are subject to the terms and conditions stated with such offers. Coupons and discounts are single use only and must be applied prior to checkout for redemption. Unless otherwise stipulated coupons cannot be used in conjunction with any other offer, bundle, discount, coupon or promotion, nor will it apply on an already reduced item. We reserve the right to deny or discontinue any coupons or discounts at our discretion.

Chargebacks and Declines. If we believe that you have participated in a fraudulent chargeback we will pursue our claims against you to the fullest extent allowed by law. We will forward your information to the applicable law enforcement agency and your fraudulent chargeback may result in either a civil fine or jail time. Where your credit card has been declined after our products have been shipped, you agree that we may resubmit your charge until such charge is fully paid, whether the charge is made as one additional charge or as installments.

5. Shipping, Delivery, and Returns

Shipping methods, costs, and estimated delivery times are calculated at checkout. Risk of loss passes to you upon our delivery of the products to the carrier. Our refund and return policy is available on the Site and is incorporated into these Terms by reference. As we do not transport the products we cannot guarantee shipping times. Depending where items are shipped, you may be issued a tracking number that allows you to check the status of your package; however, not all shipments will include tracking numbers. Prior to shipment, PartsWarehouse must prepare your product and ensure quality control. We recommend you check all shipments immediately once you have received them. If you have any issues with your shipment or do not receive your shipment, please contact us immediately.

6. Intellectual Property

All content on the Site, including text, graphics, logos, images, product photographs, schematics, parts diagrams, software, and the compilation thereof, is the property of PartsWarehouse or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may view, download, and print Site content only for the purpose of placing orders or researching products. You may not reproduce, modify, distribute, transmit, republish, display, sell, lease, license, or commercially exploit Site content in any other manner without our prior written consent. All rights not expressly granted in these Terms are reserved for PartsWarehouse.

Trademarks. PartsWarehouse, the PartsWarehouse logo, and any other PartsWarehouse marks are trademarks or service marks of VacPartsWarehouse.com LLC. Other product and company names mentioned on the Site are the trademarks of their respective owners. Reference to third-party product brands is for identification of replacement parts only and does not imply endorsement by or affiliation with the third-party brand owner.

Site Availability. Although we will attempt to provide continuous Site availability to you, we do not guarantee that the Site will always be available, work, or be accessible at any particular time. We reserve the right to alter, modify, update, or remove our Site at any time. We may conduct such modifications to our Site for security, intellectual property, legal, or various other reasons at our discretion, and we are not required to explain such modifications. For example, we may provide updates to fix security flaws, or to respond to legal demands. Please note that this is a non-binding illustration of how we might exercise our rights under this section, and nothing in this section obligates us to take measures to update the Site for security, intellectual property, legal, or other reasons.

7. User Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Site.
  • Use any robot, spider, scraper, or other automated means to access the Site, except for search engine crawlers operating in accordance with our robots.txt file.
  • Impersonate any person, including any PartsWarehouse employee or other user.
  • Submit content that is libelous, defamatory, obscene, threatening, invasive of privacy, abusive, illegal, infringing, or otherwise objectionable.
  • Upload commercial content or use the Site to solicit other users for any other commercial purpose.
  • Interfere with the security of the Site or attempt to gain unauthorized access to any account, system, or network.
  • Use the Site in any manner that violates the rights of any third party.
  • Copy, distribute or disclose any part of the Site in any medium, including without limitation by any automated or non-automated "scraping".
  • Interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Site.
  • Violate any requirements, procedures, policies or regulations of networks connected to PartsWarehouse.
  • Violate any United States federal laws, state laws, or local laws or the laws of your jurisdiction while using the Site.

8. Third-Party Links and Services

The Site may contain links to third-party websites or services. We do not control those third parties and are not responsible for their content, privacy practices, or terms of use. Your interactions with third-party websites and services are governed by the terms and policies of those third parties. In addition, PartsWarehouse will not and cannot censor or edit the content of any third-party website. By using the Site, you expressly release PartsWarehouse from any and all liability arising from your use of any third-party website.

9. Disclaimer of Warranties

USE OF THIS SITE INCLUDING ANY SERVICES PROVIDED, ANY PARTSWAREHOUSE CONTENT, AND ALL PRODUCTS AND ITEMS PURCHASED, ARE AT YOUR EXCLUSIVE RISK, AND THE RISK OF INJURY FROM THE FOREGOING RESTS EXCLUSIVELY WITH YOU. EXCEPT FOR ANY WARRANTIES AS EXPRESSLY PROVIDED WITHIN THIS AGREEMENT, THE SITE, THE CONTENT, ANY SERVICES, AND ALL PRODUCTS SOLD ON THE SITE ARE PROVIDED "AS IS," "WITH ALL FAULTS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-DEFECTIVE OPERATION, WORKING CONDITION, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. PARTSWAREHOUSE DOES NOT WARRANT THAT THE SITE, ANY SERVICES OFFERED, OR ANY PRODUCTS OR ITEMS SOLD WILL BE: (1) UNINTERRUPTED OR ERROR FREE; (2) FUNCTION PROPERLY; (3) FREE FROM DEFECTS OR OTHER HARMFUL COMPONENTS; OR (4) ACCURATE, FUNCTIONAL, OR RELIABLE.

To the extent permitted by applicable law, we (including OUR officers, directors, agents, AFFILIATES, and employees) are not liable, and you agree not to hold us responsible, for any damages or losses (including, but not limited to, loss of money, goodwill or reputation, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly from your use of the Site, OUR services, AND OUR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PartsWarehouse HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you. In the event that your jurisdiction does not allow us to exclude all liability, you agree that our total liabIlity to you will not exceed the total amount you have spent on your purchases via the site OR one hundred us Dollars ($100 USD), WHICHEVER IS GREATER. Specifically, in those jurisdictions not allowed, we do not disclaim liability for: (a) death or personal injury caused by PartsWarehouse's negligence or that of any of its officers, directors, agents, affiliates, or employees; (b) fraudulent misrepresentation; or (c) any liability which it is not lawful to exclude either now or in the future. Manufacturer warranties for products sold through the Site, if any, are provided by the manufacturer and are subject to the manufacturer's terms. PartsWarehouse makes no independent warranty regarding any product, except as may be required by applicable consumer-protection law.

10. Limitation of Liability

To the extent permitted by applicable law, we (including OUR officers, directors, agents, AFFILIATES, and employees) are not liable, and you agree not to hold us responsible, for any damages or losses (including, but not limited to, loss of money, goodwill or reputation, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly from your use of the Site, OUR services, AND OUR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PartsWarehouse HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 11. Indemnification

You agree to indemnify, defend, and hold harmless PartsWarehouse, its officers, directors, employees, agents, licensors, and suppliers, from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your violation of any law or any rights of another person; or (c) any unauthorized use of your account by a third party using your credentials.

12. Incorporation of Privacy Policy

Our Privacy Policy describes how we collect, use, and disclose information about you. The Privacy Policy is available at partswarehouse.com/privacy-policy and is incorporated into these Terms by reference. By using the Site, you acknowledge that we collect, use, and disclose information about you as described in the Privacy Policy.

13. Dispute Resolution; Arbitration; Class Action Waiver

READ THIS SECTION CAREFULLY. It affects your legal rights and requires that most disputes between you and PartsWarehouse be resolved through individual arbitration rather than in court, and it waives your right to participate in class actions and class arbitrations. You may opt out of the arbitration agreement by following the procedure in Section 13.7 below.

13.1 Informal Dispute Resolution

Before initiating arbitration or any other legal action, you agree to first contact us at [email protected] or (866) 243-2721 with a description of your dispute, the relief you seek, and your contact information. We will attempt in good faith to resolve the dispute informally. If the dispute is not resolved within 60 days, either party may proceed to arbitration.

13.2 Agreement to Arbitrate

By using this Site, you agree that: (1) any claim, dispute, or controversy (except as otherwise set forth) you may have against us, PartsWarehouse or the Site arising out of, relating to, or connected in any way with this Agreement or any products purchased shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") and conducted before a single arbitrator pursuant to the applicable Consumer Rules and Procedures established by AAA ("Rules and Procedures" found at adr.org); (2) the claim or dispute must be brought within one (1) year of the first date of the event giving rise to such action and the arbitration shall be held in; (3) the arbitrator shall apply Texas law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (4) there shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only your and/or PartsWarehouse 's individual claims; and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (5) omitted; (6) where claims are under $25,000 and permitted under the AAA Rules and Procedures, both parties shall be entitled to appear using written briefs, electronically or telephonically for all proceedings; and (7) with the exception of subpart (4) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by the AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (4) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither you nor PartsWarehouse shall be entitled to arbitrate their dispute. The arbitration shall be conducted by a single arbitrator in English. The arbitration shall take place in Rockwall County, Texas,

13.3 Class Action Waiver

YOU AND PARTSWAREHOUSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. BOTH YOU AND PARTSWAREHOUSE WAIVE THE RIGHT TO A TRIAL BY JURY.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, the following matters are not subject to arbitration: (a) claims for injunctive or equitable relief to protect intellectual property rights; (b) any claim that, under applicable law, cannot be required to be arbitrated; and (c) disputes regarding the enforceability of the class action waiver, which may be decided by a court. Any such claims within this subsection 13.4 must be brought in a court of competent jurisdiction located within Rockwell County, Texas.

13.5 Arbitration Fees

If you are a consumer initiating arbitration under these Terms, we will pay the AAA filing fee, administrative fees, and arbitrator fees in accordance with the AAA Consumer Arbitration Rules, except where the arbitrator determines that your claim was frivolous or brought for an improper purpose. Each party will bear its own attorneys' fees and costs, except where the arbitrator is authorized by applicable law to award attorneys' fees and costs to the prevailing party.

13.6 Opt-Out Procedure

You may opt out of this arbitration agreement. To opt out, you must send written notice to PartsWarehouse Arbitration Opt-Out, 2578 State Highway 276, Rockwall, TX 75032, or by email to [email protected] with the subject line "Arbitration Opt-Out," within thirty (30) days after the date you first accepted these Terms (or, for existing customers as of the Effective Date, within thirty (30) days after the Effective Date). Your notice must include your name, address, email address, and a statement that you wish to opt out of the arbitration agreement. If you opt out, you will not be bound by this Section 13, but you will remain bound by all other provisions of these Terms. Where such opt-out occurs, any such claims must be brought in a court of competent jurisdiction located within Rockwell County, Texas.

14. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Site shall be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except that this paragraph shall not deprive a consumer of the benefit of mandatory consumer-protection laws of the consumer's state or province of residence that cannot be waived by contract. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Modifications to These Terms

We may amend this Agreement from time to time. When we amend this Agreement, we will update this page and indicate the date that it was last modified or we may email you. You may refuse to agree to the amendments, but if you do, you must immediately cease using our Site..

16. Termination

We may suspend or terminate your access to the Site and your account at any time, with or without cause, with or without notice. The following provisions shall survive termination of the Terms: Sections 1, 4-6, 9-17.

17. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and PartsWarehouse regarding the Site and supersede all prior agreements and understandings on that subject. Where any other agreements or policies contradict the Terms, the Terms shall supersede and control.

Severability. In the event that a provision of these Terms is found to be unlawful, conflicting with another provision of these Terms, or otherwise unenforceable, these Terms will remain in force as though it had been entered into without that unenforceable provision being included in it.

No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Notices. We may provide notices to you by email, by posting on the Site, or by mail. You may provide notices to us at the contact information in Section 18.

Limitation period. Any claim arising out of or relating to these Terms or the Site must be commenced within one (1) year after the claim arises, except as otherwise required by applicable law. This limitation does not apply to claims that, under applicable law, may not be contractually shortened.

Electronic Communications. The communications between you and PartsWarehouse use electronic means, whether you visit the Site or send PartsWarehouse e-mails, or whether PartsWarehouse posts notices on the Site or communicates with you via e-mail. For contractual purposes, you: (1) consent to receive communications from PartsWarehouse in an electronic form; and (2) agree that all terms, conditions, agreements, notices, disclosures, and other communications that PartsWarehouse provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing. The foregoing does not affect your statutory rights
